ARTICLE I - Membership [Back to top]
A. Classes and Rights - There shall be four classes of membership:
1. Active - an Active member shall be a person of good moral character who continually demonstrates a sincere interest in the club and its activities. Active members only shall:
a) Have proprietary rights including purchase, sale and disposition of all club property, real and/or otherwise
b) Be nominated for and hold elective office
c) Be Chairman of standing committees
d) Be in charge of club sponsored trips
e) Vote on:
1) Amendments to the Certificate of Incorporation and Bylaws
2) The election of officers and trustees
3) The expenditure of club monies
4) The sale of club property, which requires a majority vote of the entire active membership
5) Dissolution of the incorporated club.
2. Provisional - a provisional member shall be a person of good moral character who demonstrates both a sincere interest in the activities of the club and a desire to become an active member. Provisional members may:
a) Participate in all club activities and serve on committees
b) Vote on general non-financial matters except in those matters provided herein as the exclusive rights of active members.
3. Associate - an Associate Member is a person of good moral character who has been an Active Member and who is unable to participate on an active basis in the affairs of the club. Associate Members, except as stated in other sections of the bylaws, shall have the same rights as Provisional Members. They may:
a) Participate in all club activities and serve on committees
b) Vote on general non-financial matters except in those matters provided herein as the exclusive rights of Active Members.
4. Honorary - an Honorary Member is a person who has given meritorious service to the club. Honorary Members shall have the same rights as Active Members.
B. Qualifications
1. The minimum age for membership in any class shall be 21 years.
2. Active and Associate Membership shall be contingent upon payment of club dues and fees
3. A sincere interest in the activities of the club shall be indicated by the following:
a) Participation in club sponsored trips
b) Attendance at club meetings and functions
c) Participation on committees, or in an elective or an appointive office
d) Concern for the rights and privileges of other members
e) Concern for conserving the clubs assets and resources
f) Activities deemed by the membership as furthering the purpose of the club.
4. Prior to elevation to active status, the person must pass a ski test designated by the Board of Trustees and given by Judges appointed by the President, or must demonstrate skiing competence in such alternate ways as may be approved by the Board of Trustees.
5. Election to Active, Provisional or Associate Membership shall be by vote of the Membership Committee. For election, at least five members of this committee must be present in the room. If five, six or seven members are present, at least four affirmative votes are needed to elect. If eight or nine members are present, at least five affirmative votes are required to elect.
6. Election of honorary membership shall be by the following:
a) Recommendation by the Board of Trustees and
b) Two-thirds vote of the Active members present and voting at the Annual Business Meeting.
C. Limitations (revised December 1988)
1. The combined membership of the active and provisional classes shall be limited to 150 persons.
2. The total number of persons in all other classes of membership may be limited as stated in Article II, B. 10.
3. The term of Provisional Membership shall be terminated automatically on November 30 following the second annual business meeting after election to that status.
D. Application for Membership (revised November, 2008)
1. Application for Membership shall require:
a) Sponsorship by one Active member
b) Payment of registration fee
2. Before an applicant may be accepted for consideration as a Provisional Member, he/she must show a sincere desire to join the club by attaining lodge ski days, participating in club projects and work weekends, or service on club committees.
E. Membership Dues and Fees
1. Membership dues and fees and registration fees for applicants are determined by the board of trustees as stated in Article II, B, 4.
2. Membership dues and registration fees shall cover the period December 1 through November 30. These monies shall not be refundable.
3. Registration fees for applicants shall be equivalent to the dues for Provisional Membership. Upon election to Active membership the applicant's registration fee shall be applied to his Active Membership dues.
4. The payment of Annual Membership dues and weekly meeting fees, if any, shall be waived for honorary members. Any excess of the registration fee over the Active Membership dues shall not be refunded or applied to the Active member's initiation fee.
F. Suspension; Expulsion; Failure of Interest; Rescission
1. Charges in writing, addressed to the secretary, may be preferred against any member by an Active member or by the membership committee for conduct thought to be prejudicial to the interests of the club. A copy of the charges shall be served by the secretary upon the member charged, together with notice of the meeting at which the Board of Trustees will hold a hearing in person on the said charges. The member charged shall have the right to appear at the hearing in person or by written statement, with or without counsel. A two-thirds vote of the entire Board of Trustees, as constituted, shall be necessary to suspend or expel from membership the person so charged.
2. If the membership committee at its year-end review in April, pursuant to article I.G.5 following, shall determine that the Active member no longer shows a sincere interest in the club and its activities, he/she shall then be so notified in writing. In evaluating an Active member's continued sincerity of interest in the club, the membership committee shall be guided by whether or not the member has, during the current ski season, attained 5 lodge ski days, attended 6 meetings or club functions and participated in club projects such as work weekends or served on club committees or served in an elective or appointive office, or continued to demonstrate interest in the other ways described in article I.B.
3. If the membership committee, at its next succeeding April annual review, shall determine that the same member has continued to fail to show a sincere interest in the club, that member shall be notified in writing that his/her active membership will be terminated effective as of the following November 30. Both the determination of failure of interest and the rescission of membership shall require an affirmative vote of at least seven members of the Committee. If five or six members of the Committee are present at the meeting, such determination must be unanimous. If seven members are present, at least six affirmative votes are needed. If eight or nine are present, at least seven affirmative votes are needed for such determination.
4. The requirement of attainment of five lodge ski days, attendance at six meetings or club functions and participation in club projects shall be waived for honorary members.
G. Membership committee
1. The Membership Committee shall consist of : the Vice President-Membership, who shall be Chairman; the President; the Chairman of the Board of Trustees; Past Vice President-Membership; the two elected members of the Board of Trustees at the last annual business meeting; and the chairmen of the following committees: Hospitality, Membership Records, and Reception. Should a member of the Membership Committee be eligible for membership under several categories as described above, he/she shall be limited to only one vote. The Committee must consist of nine voting persons. Vacancies will be filled by appointment of the Committee unless otherwise provided for in the Bylaws. Such appointees shall be required to hold Active status.
2. The Committee shall mail application forms to all Active and Provisional members no later than September 15. Failure to return a completed application to the Committee prior to November 30 shall result in automatic suspension of membership privileges of the delinquent member. The Vice President-Membership shall notify the suspended member of his/her status during the month of December. Failure to submit the application and dues shall result in automatic termination of membership as of (which would coincide with) the January meeting of the Membership Committee.
3. The Committee may meet at any time, but must meet a minimum of once monthly between December and April of the following year. Changes in status of current membership shall be effected only during these meetings.
4. An Applicant may not be elected to Provisional membership prior to the January committee meeting - nor later than the last committee meeting in April.
5. The Committee shall review members in all classes in the month of April.
H. Authority
1. Ultimate authority regarding any and all matters pertaining to the club shall rest exclusively with the Active membership. A majority vote of the total Active membership may override any policy, action or inaction of its officers, committees, Board of Trustees, or any group or individual member in matters pertaining to the club.
ARTICLE II - Board of Trustees [Back to top]
A. Composition
1. The Board of Trustees shall be composed of the following thirteen persons, at least eight of whom shall be residents of New Jersey:
a) President, Vice President-Membership, Vice President-Lodge, Secretary, General Treasurer and Lodge Treasurer
b) The following people who were officers at the convening of the last annual business meeting: President, Vice President-Membership, Vice President-Lodge, General Treasurer and Lodge Treasurer
c) Two Active members, one elected each year for a term of two years.
2. The Board of Trustees shall elect as Chairman a member who is not currently, an officer of the club. This Chairman shall have been an Active member for a minimum of one year prior to election.
3. Should a member of the Board of Trustees be eligible for Board membership under more than one of the categories described in Article II.A.1, he/she shall be limited to one vote.
4. Vacancies in the office of Trustee shall be filled by appointment of the Board.
5. A Trustee who is unable to fulfill his/her duties is expected to resign voluntarily, from the Board.
B. Responsibilities and Duties
1. The Board of Trustees shall meet at least once every month. Seven Trustees shall constitute a quorum. Additional meetings may be held at the discretion of the Chairman. A report will be presented to the membership at the first club meeting following the Board meeting.
2. The primary responsibility of the Board of Trustees is to assure the well-being and effective operation of the club and to report to the membership any conditions that it feels are detrimental to the operation and well-being of the club.
3. The Board of Trustees shall be responsible for the interpretation of the Certificate of Incorporation and the Bylaws.
4. The Board of Trustees shall be responsible for the following monetary affairs of the club:
a) An annual audit of the financial accounts
b) The determination of the registration fee for Applicants
c) The determination of the membership dues and fees in accordance with the financial needs of the club
d) The determination of the initiation fee that is to be paid prior to becoming an Active member
e) The determination of the door assessments for club meetings
f) A review of all officer's budgets prior to presentation at a club meeting
g) A review of all expenditures, except emergencies, in excess of $150 prior to a final vote by the club membership, and a review of all expenditures of more than $150 but not more than $300 as soon as practical after the expenditure is made.
5. The Board of Trustees shall determine the ski test that is to be passed by a potential Active member, and any alternative way of demonstrating skiing competence.
6. The Board of Trustees shall recommend potential Honorary members to the Active membership.
7. The Board of Trustees shall appoint a nominating committee and chairman, which shall present a slate of candidates for each office at the second weekly club meeting prior to the annual business meeting. All candidates shall be Active members.
8. The Board of Trustees shall act on the suspension hearing as stated in Article I.F.1.
9. Passage of any motion of the Board of Trustees requires a majority vote of the entire Board of Trustees present at the meeting unless otherwise stipulated in these Bylaws.
10. The Board of Trustees can, on the recommendation of the Membership Committee, limit applications for membership.
ARTICLE III - Officers [Back to top]
A. Officers and Their Duties
1. President - The President shall: preside at all meetings of the club, be responsible for the well-being and effective operation of the club, be an ex-officio member of all committees, appoint committees as he/she feels necessary, and appoint chairmen of all committees except those specifically designated as the responsibility of other officers or the Board of Trustees
2. Vice President-Membership The Vice President-Membership shall be responsible for the establishment and successful operation of all committees pertaining to membership. He/she shall act in place of the President whenever the President is unable to perform his/her duties.
3. Vice President-Lodge The Vice President-Lodge shall be responsible for the establishment and successful operation of all committees pertaining to the yearly operation of the club's lodge and real property. He/she shall act in place of the President and Vice President-Membership in the event that both are unable to perform their duties.
4. Secretary The Secretary shall keep the minutes of all meetings, keep records of the club; send out notices to members and preside at club meetings in the absence of the President and Vice President.
5. General Treasurer The General Treasurer shall be responsible for the receipt, custody and disbursement of the general account, which will cover all income and expenses not connected with the operation of the lodge. He/she shall be responsible for all other financial business related to the club during the fiscal year June 1 to May 31 and present it to the Board of Trustees prior to their yearly audit. He/she shall preside at club meetings in the absence of the President, Vice Presidents and Secretary.
6. Lodge Treasurer The Lodge Treasurer shall be responsible for the receipt, custody and disbursement of all income and expenses related to the operation of the lodge and real property.
B. Vacancies
1. If the office of President shall be vacant, the elected Vice President-Membership shall become President until the next annual election. In the event that the offices of President and Vice President-Membership be vacant, or held by an appointee, the elected Vice President-Lodge shall become President. Should there be neither an elected Vice President-Membership nor an elected Vice President-Lodge, an extraordinary election shall be held to fill the office of President, with candidates selected as stated in Article II, B, 7.
2. If there should be a vacancy in any office other than President the Board of Trustees shall appoint an Active member to assume the office until the next election.
C. Elections
1. Elections shall be held at the annual business meeting for the offices of President, Vice President-Membership, Vice President-Lodge, Secretary, General Treasurer, Lodge Treasurer and one member of the Board of Trustees. All terms of office shall be one year except the term of elected Trustee, which shall be for two years. Only Active members may be nominated for, and hold, elective office.
2. The Nominating Committee shall present a slate of candidates for each office at the two weekly club meetings prior to the annual business meeting.
3. Nominations by Active members shall be accepted from the floor at the two weekly club meetings prior to the annual business meeting.
4. Election shall be by a plurality vote of the Active members present and voting, taken by secret ballot.
5. The new officers shall assume their duties upon the start of the fiscal year.
D. Recall
1. The Board of Trustees shall call an extraordinary meeting of the Active members requesting the recall of any elected or appointed officer or member of the Board of Trustees.
a) Written notice describing the purpose of said meeting must be sent to all Active members no later the third regular meeting plus one week prior to the date of said meeting.
b) Said meeting must be announced at each of the three regular meetings preceding said extraordinary meeting.
c) Two-thirds of the entire Active membership must be present at said extraordinary meeting
d) A plurality of three-quarters of the Active membership, present and voting by secret ballot, shall be considered sufficient to recall the officer or trustee.
ARTICLE IV - Committees - [Back to top]
Standing Committees and their respective responsibilities are:
1. Committees reporting to the Vice President-Membership:
a) Hospitality - introduction of guests to membership
b) Membership Records - maintenance of membership records
c) Reception - attendance records and collection of meeting assessments
2. Committees reporting to the Vice President-Lodge (revised April 1996):
a) Trip - the organization and arrangement of all trips
b) Maintenance - lodge, plant and all equipment, and all records
c) Housekeeping - appearance, comfort and efficiency of the lodge
3. Committees reporting to the President:
a) Program - the planning of social functions
b) Party
c) Competition - the physical fitness, ski test and competitive activities
d) Editorial - the club publication
e) House - the refreshments and meeting quarters
f) Ski Patrol - promotion of safe and courteous skiing
g) Publicity
h) Uniform Tests - the promotion of skiing proficiency,
i) Any other standing or new committee deemed necessary by the President.
4. Committees reporting directly to the Board of Trustees (revised April 1996):
a) Lodge Planning - responsible for making long-range recommendations to the club concerning maintenance, modification, construction, and disposition of club property.
ARTICLE V - Meetings [Back to top]
A. Regular Club Meetings
1. Shall be held once per week beginning in November and ending in April, except that the Board of Trustees may choose to begin weekly meetings in October by announcing this decision at the last monthly meeting before the start of such weekly meetings.
2. Shall be held once per month beginning in May and ending in October.
B. Annual Business Meeting
1. The annual business meeting shall be held during the latter part of the month of April
C. Other club meetings
1. May be called by the President or any ten Active members. A notice must be mailed to each Active member ten days prior to such meeting. Said notice is to reasonably describe the purpose for which the meeting has been called. At least four members of the Board of Trustees shall be in attendance; their presence is required before any voting may occur.
D. Attendance
1. Attendance at meetings will normally be limited to members, applicants, and guests sponsored by Active members.
E. Age
1. Attendance at meetings shall be limited to persons at least twenty-one years of age.
ARTICLE VI - Financial Expenditures [Back to top]
A. Budgeted
1. All officers shall prepare yearly budgets, which shall be reviewed by the Board of Trustees prior to presentation to the membership for approval. Officers are not authorized to spend club monies prior to approval of such budgets by the Active members of the club, except in emergencies as defined in Section B and required routine expenses as defined in Section C.
B. Emergency
1. Emergency repair or replacement of club properties may be authorized as deemed necessary by the President and a Vice President. Other emergency financial expenditures may be approved by the Board of Trustees. All such emergency expenditures shall be reported to the membership at or before its next meeting.
C. Required Routine Expenses
1. Expenses such as mortgage payments, insurance, taxes, and rent on the meeting hall which may become due before the Active members approve budgets. The budgets must include such expenses.
ARTICLE VII - Amendments [Back to top]
A. The Bylaws, except Article VIII, may be amended upon due notice by a majority vote of the Active members present and voting at any weekly club meeting. Due notice requires that a copy of the proposed amendment, along with the opinion of the Board of Trustees that the proposed amendment does not conflict with any provisions in the Certificate of Incorporation and Bylaws, together with the reasons for the change, be submitted in writing and mailed to the Active members at least three meetings plus one week before the voting.
ARTICLE VIII – Dissolution [Back to top]
A. The dissolution of the club, if desired, shall be in accordance with the statutes of the State of New Jersey. All financial obligations shall be settled upon dissolution and remaining financial resources and properties shall be distributed to a recognized skiing associated charity, or charities, as decided by the Active members of the club. Any change in this Article VIII, Dissolution, requires the approval of three-quarters of the total Active membership.
ARTICLE IX - Parliamentary Authority [Back to top]
A. Parliamentary authority for club meetings shall be Robert's Rules of Order.
